Constitution 07-08

Article I: Name

The name of the corporation is Brookings Ice Skating Association, Inc.

Article II: Purposes

The purposes of this corporation are:

a) To encourage all members’ approved efforts and activities in connection with ice hockey in the Brookings Community.

b) To promote full discussion and exchange of ideas regarding the planning and implementation of such activities.

c) To disseminate the results of all efforts and activities to all persons in the Brookings Community.

d) To continue to improve the methods used in the corporation’s efforts and activities.

Article III: Membership and Dues

a) Unit Membership – Every household with an active hockey player, regardless of the number of individual hockey players within the household is entitled to only one membership.  The unit is also entitled to only one vote in any regular business meeting.

b) A unit membership is activated upon payment of dues specified by the Board of Directors every season.

c) Voting eligibility as a unit member during a general membership meeting is granted upon payment of dues.

d) Honorary Members – Persons of such outstanding accomplishments in the promoting of ice hockey in the Brookings community as are deemed worthy of this honor.  Honorary members shall not be required to pay dues and are not deemed voting units.

e) There shall be no initiation fees to any membership class.
 
Article IV
Officers and Board of Directors

a) The Officers shall consist of: President, Vice President, Secretary and Treasurer.

b) The Board of Directors shall consist of the Officers, the immediate past President, Team Directors and the Directors of the Standing Committees. The Board of Directors shall have general management responsibility of the Association and may adopt, revise or repeal a handbook of rules and regulations.
 
Article V: Directors of Standing Committees

The following positions and standing committees are hereby created.  Positions or committees shall have those duties assigned in the By-Laws.  The Board of Directors may from time to time appoint such other ad hoc committees as shall be deemed necessary.

  5. Registrar
  6. Referee Director
  7. Risk Manager
  8. Ice Scheduler
  9. Equipment Director
  10. Coaching Director
  11. Tournament Director
  12. Summer Ice Director
  13. Participant Points System Director
  14. 4 on 4 Director
  15. Facility Director

Article VI: General Membership Meetings

a) General Membership Meetings shall be held not less often than annually and at such other time as the Board of Directors shall designate or upon the petition of one-eighth of the unit membership.

b) The election of officers shall take place at a general membership meeting in April of each year.  The officers shall be elected for a term of one year beginning July 1. (April 2003)

c) Notice of the time and place of the General Membership Meeting shall be provided to the unit membership at least 10 days prior to the meeting unless waived.

d) Review or changes to the Constitution or Bylaws will be presented at the General Membership Meeting.

e) Election of Representatives to the SDAHA Board consistent with State Bylaws will be voted upon during the General Membership Meeting.

f) A quorum for the transaction of business during the General Membership Meeting shall consist of one-eighth of the unit members in person or represented by proxy.

g) Written proxies, signed and dated by active members, shall be counted when determining if a quorum exists for General Membership Meetings.
 
Article VII: Board of Director Meetings

a) Board of Director Meetings shall be called by the President at such times and places as deemed necessary, or whenever a written request for a meeting is received by the Secretary from two members of the Board of Directors.

b) A quorum for the transaction of business at the Board of Director Meetings shall consist of 50% of the Board of Directors.

Article VIII: Amendments


This Constitution may be amended by a two-thirds vote of the eligible unit members who are present in person or represented by written proxy at any General Membership Meeting.

The foregoing Constitution, as amended by the membership at the annual meeting held on the _______ day of April 2001, is true and correct according to my knowledge and belief and is hereby approved on behalf of the Corporation.
